Terms of Service
These Terms of Service (“Terms”) are a binding agreement between you and PDFKitly (“PDFKitly,” “we,” “us,” or “our”) governing your access to and use of PDFKitly’s website, browser-based document tools, accounts, subscriptions, and related services (collectively, the “Service”). By using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.
1. Eligibility and accounts
You must be legally capable of entering a contract and at least 13 years old, or the higher minimum age required where you live. If you use the Service for an organization, you represent that you are authorized to bind it.
Free browser tools generally do not require an account. Pro limits, billing, and processing history require authentication. You are responsible for access to your email account, all activity under your session, and promptly notifying us of suspected unauthorized access. You may not sell, transfer, or share an account in a way that defeats plan limits.
2. The Service
PDFKitly provides tools to merge, split, compress, rotate, extract, and—where technically supported—unlock PDFs when the user knows the password and has authority to remove protection. Most processing is performed locally in the browser.
PDF is a complex format. Output may not preserve every interactive form, signature, annotation, attachment, layer, font, script, accessibility tag, portfolio, encryption feature, or unusual document structure. Compression results vary and may produce little or no reduction. Unlocking is limited to encryption supported by the selected browser library. The Service will not claim success unless an output is generated, but you remain responsible for reviewing it.
4. Your documents and output
You retain your rights in documents and generated output. You grant us only the limited permission needed to provide an operation you request. For local browser processing, we do not receive the document. If you knowingly choose a future server-side operation, you authorize temporary processing and storage solely to provide that operation.
You are responsible for maintaining backups, checking output before relying on or distributing it, and ensuring that processing does not violate an obligation to another person. Electronic signatures, legal filings, archival documents, medical records, financial records, and other critical documents should be validated with appropriate professional tools.
5. Free service, Pro subscriptions, and billing
Free plan
The free plan includes advertised limits that may vary by tool and may display advertisements. We may adjust reasonable free limits to protect performance, security, or availability.
PDFKitly Pro
Pro is offered for $7 USD per month unless a different price is clearly shown before checkout. Pro includes higher limits, no PDF Toolkit ad placements while entitlement is active, and other listed benefits. Future features are not guaranteed.
Automatic renewal
Subscriptions renew automatically each month until canceled. By subscribing, you authorize Stripe and us to charge the payment method on file for recurring fees and applicable taxes. Stripe’s checkout page displays the final amount before purchase.
Cancellation and failed payments
You may cancel through the Stripe Customer Portal. Cancellation normally takes effect at the end of the current paid period, and access continues until then. If payment fails, access may be restricted or end. Deleting an account does not necessarily cancel an active subscription; cancel through the billing portal first.
Refunds and price changes
Except where law requires otherwise or we expressly state otherwise, fees are non-refundable and partial periods are not credited. We will provide legally required notice of material price changes; a new price applies to a later renewal, and you may cancel before it takes effect.
6. Advertising and third-party services
Free pages may contain ads supplied by Google or other approved providers. Ads are third-party content, not endorsements by PDF Toolkit. Your interactions with advertisers are between you and the advertiser. Advertising and related cookies are governed by our Privacy Policy and your consent choices.
The Service also relies on third parties such as Cloudflare, Stripe, authentication/email providers, and external links. Their services and terms are outside our control. We are not responsible for third-party sites, offers, content, or availability.
7. PDFKitly intellectual property
The Service, brand, interface, software, and original site content are owned by us or our licensors and protected by applicable law. These Terms grant a limited, revocable, non-exclusive, non-transferable right to use the Service for its intended purpose. They do not grant rights to our trademarks or source code. If you send feedback, you permit us to use it without restriction or payment, without identifying you as the source.
8. Changes, availability, and termination
We may modify, suspend, or discontinue features; address security or legal issues; impose or adjust limits; and update these Terms. We will provide notice when required. We do not guarantee uninterrupted availability or that every PDF will be supported.
You may stop using the Service at any time. We may suspend or terminate access for material breach, nonpayment, security risk, unlawful conduct, or abuse. Provisions that by their nature should survive— including payment obligations, intellectual property, disclaimers, liability limitations, and dispute terms—survive termination.
9. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, AND PRESERVATION OF DOCUMENT FEATURES. WE DO NOT WARRANT THAT OUTPUT WILL BE IDENTICAL TO THE SOURCE, ERROR-FREE, LEGALLY VALID, OR SUITABLE FOR ARCHIVAL OR PROFESSIONAL USE.
Nothing in these Terms excludes a warranty or right that cannot legally be excluded.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PDF TOOLKIT AND ITS AFFILIATES, OWNERS, PERSONNEL, AND PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOST PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS; OR DOCUMENT LOSS, CORRUPTION, DISCLOSURE, OR INCOMPATIBILITY ARISING FROM THE SERVICE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO PDF TOOLKIT DURING THE THREE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) US$25. These limits do not apply where prohibited or to liability that cannot legally be limited.
11. Indemnity
To the extent permitted by law, you will defend, indemnify, and hold harmless PDFKitly and its affiliates, owners, personnel, and providers from third-party claims, liabilities, damages, and reasonable costs arising from your documents, unauthorized processing, violation of law, infringement of rights, or material breach of these Terms.
12. Disputes and governing law
Before filing a formal claim, you and PDFKitly agree to make a good-faith effort to resolve it by written notice describing the issue and requested resolution. These Terms are governed by the laws that apply to the operator identified below, without regard to conflict-of-law principles, except that mandatory consumer protections in your place of residence continue to apply. Courts with lawful jurisdiction over the operator and dispute may hear claims unless applicable law requires another forum.
13. General terms
These Terms and the Privacy Policy are the entire agreement concerning the Service unless additional written terms apply. If a provision is unenforceable, it will be limited to the minimum extent necessary and the rest remains effective. Failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them as part of a reorganization or transfer of the Service. Headings are for convenience only.
14. Operator and contact
The Service is operated by PDFKitly. Questions about these Terms may be submitted through our contact page. Mailing address: Lakewood, NJ 08701.
